SpaceX’s stock is down nearly 50% from its high. Why it’s still not a bargain.
The headline sounds seductive: SpaceX, one of the world’s most dominant and ambitious space companies, is reportedly trading in private secondary markets at roughly half its peak tender-offer price. For late-stage private tech, a 50% drawdown can look like a once-in-a-decade chance to buy greatness on sale.
But “down a lot” is not the same as “cheap.” In SpaceX’s case, even after a dramatic reset, the price implied by recent private transactions still bakes in a near-flawless outcome across multiple high-risk fronts. For most investors, that’s not a bargain—that’s a tightrope.
What the drawdown really means
– The 50% “drop” is from a company-managed tender high-water mark, not a liquid public market price with deep price discovery. Private valuations can be circular, thinly traded, and sentiment-driven.
– Even at roughly half peak, implied enterprise value still sits around mega-cap territory. Against publicly reported and leaked estimates through 2024, that implies double-digit multiples of revenue and very high multiples of EBITDA—levels that assume sustained hypergrowth and strong free cash flow in the near future.
The two-moonshot problem: execution risk is compounded
SpaceX is pursuing two extraordinarily hard programs simultaneously:
– Falcon/Starship launch system
– Starlink global broadband constellation (with offshoots like direct-to-cell)
Each is capital-intensive, operationally complex, and exposed to regulation, geopolitics, and physics. Their risks are correlated: launch cadence and vehicle performance underpin Starlink’s deployment, refresh, and cost structure; Starlink’s cash generation, in turn, is a critical rationale for Starship’s long-term economics. When two moonshots lean on each other, the margin for error compresses.
Starlink’s unit economics are not “solved” at scale
Starlink is the core of the equity story. To justify a six-figure, hundred-billion-plus valuation, investors implicitly assume tens of billions in future high-margin revenue. That requires:
– Very large subscriber growth across consumer, enterprise, mobility, and government, despite rising competition.
– Stable or rising ARPU in segments historically prone to price pressure as networks scale.
– Low churn in markets where terrestrial alternatives improve and subsidy regimes evolve.
– Manufacturing, launch, and satellite-refresh costs that keep falling, even as the constellation transitions to higher-capacity generations with more complex payloads and laser links.
– Ground network, spectrum, and backhaul costs that don’t creep up and compress margins.
Starlink has made remarkable progress, including reported profitability improvement by 2024. But the physics and cash demands don’t disappear at scale. Satellites have finite lifetimes; replacement cycles are persistent capex. Constellation density, inter-satellite links, gateways, regulatory filings, and spectrum coordination are recurring, not one-off, challenges. “Internal” launch isn’t free either—opportunity cost matters.
Starship is still a development-stage swing
Reusability is the right vision, but full and rapid reusability at Starship’s intended scale is unproven. Timelines can slip, regulatory approvals can take time, and flight test programs can pause after anomalies. The payoff, if realized, is transformative. But today the outcome is uncertain, and cash burn remains substantial until high-cadence, low-cost, reusable operations are routine.
The launch TAM math doesn’t bail you out
Falcon 9 dominance is real, but launch is a relatively small global market. Even with high share and efficient reuse, launch alone can’t carry a triple-digit-billion valuation. The equity case must hinge on Starlink-like platforms with software-like margins at scale. That is precisely the part of the story with the most unresolved variables.
Competition is coming from all sides
– Constellations: Amazon Kuiper, national programs (e.g., China’s Guowang), and the EU’s IRIS2 increase capital in the race, bid up spectrum and ground assets, and vie for government contracts.
– Direct-to-device: Multiple architectures and partnerships are emerging; standards are fluid; spectrum is contested.
– Incumbents: GEO and MEO operators are not standing still, and consolidation can sharpen their offerings and pricing.
Regulatory and geopolitical friction are features, not bugs
Global broadband and launch touch dozens of jurisdictions. Risks include licensing delays, spectrum conflicts, export controls, sanctions, and in-theater operating hazards. Government customers are an asset, but they also bring pricing scrutiny, compliance overhead, and political cyclicality.
Capital intensity, dilution, and liquidity still matter
– SpaceX will likely need repeated large capital injections for Starship, Starlink expansion, and satellite refresh cycles. Late-stage private investors can face ongoing dilution.
– Secondary shares are illiquid, often carry transfer restrictions, and provide limited governance rights. The “liquidity discount” should be large; in practice, scarcity sometimes keeps it small.
– Key-man and governance risk are real in founder-led, multi-venture ecosystems. Related-party concerns and strategic pivots can surprise minority holders.
What the numbers have to say
Without relying on precise 2025–2026 figures, the broad picture through 2024 is clear:
– Reported and estimated SpaceX revenue by 2023–2024 put the company roughly in the high single-digit to low double-digit billions.
– A roughly $100 billion enterprise value (post-drawdown) implies on the order of 8–12x sales and far higher multiples of true owner earnings, given continuing capex. Public comps in satellites and defense trade at much lower multiples, with far clearer cash-flow visibility. The premium requires belief in near-term, compounding, high-margin Starlink cash flow and successful Starship commercialization—both unproven at scale.
Why a big price drop still isn’t a margin of safety
– Private-market high to private-market mid isn’t the same as intrinsic value below conservative scenarios.
– The range of plausible outcomes is unusually wide, and the left tail (multi-year delays, regulatory setbacks, capital raises at lower prices) is not negligible.
– Your equity is illiquid and your information rights are limited; both warrant a sizable discount that current pricing may not reflect.
What would make it a bargain
– Evidence of sustained, segment-diversified Starlink free cash flow after full burdened costs, including satellite replacement and ground network opex.
– Clear line of sight to repeatable, rapid, low-cost Starship operations with regulatory stability and paying commercial demand beyond internal constellation needs.
– Valuation closer to mature-infrastructure multiples on realistic, not blue-sky, forward cash flows—or a price that compensates for private-market illiquidity, dilution risk, and governance.
Bottom line
A 50% drawdown makes for a great headline, but not a great margin of safety. At today’s private-market prices, investors are still paying up for near-perfect execution across two of the hardest programs in aerospace history, while accepting illiquidity, dilution, regulatory uncertainty, and correlated technical risk. That is the opposite of what a bargain is supposed to look like.
